“NOBACCO PRIME” PROGRAM TERMS – GREECE

The following Program Terms (hereinafter, the “Terms”) govern the operation of the “Nobacco Prime” Program (hereinafter, the “Program”), established by the company under the corporate name “NOBACCO SINGLE MEMBER SOCIETE ANONYME VAPING PRODUCTS”, operating under the trade name “NOBACCO”, having its registered seat at 1st km Koropi–Markopoulo Avenue, Koropi, Attica, Postal Code 194 00, Greece, Tel.: +30 210 7622020, Fax: +30 210 6715397, Tax Identification Number (TIN): 800386268, registered with the General Commercial Registry (G.E.MI.) under No. 119582601000 (hereinafter, “Nobacco”).
The Program is a subscription-based loyalty service through which its Members (as defined below) purchase the Subscription of their choice (from the available Subscription Categories, as defined below) for the applicable Subscription Fee (as defined below) and benefit from the Program privileges in accordance with these Terms, as in effect.
Enrollment in the Program constitutes acknowledgment that the applicant has read these Terms and agrees to and fully and unconditionally accepts that they exclusively govern the Member’s rights and any obligations as a Member of the Program. These Terms constitute a legally binding agreement between the Member and Nobacco with respect to enrollment in and use of the Program (hereinafter, the “Agreement”).
- DEFINITIONS
For the purposes of these Terms, the following terms shall have the meanings set forth below:
“E-shop”: means the online store operated by Nobacco at https://www.nobacco.gr/.
“Loyalty ID”: means the unique code automatically generated by Nobacco’s system upon completion of the Member’s enrollment in the Program.
“Member” or “Program Member”: means an adult natural person with full legal capacity to enter into legally binding agreements who, after accepting the Program Terms and paying the applicable Subscription Fee corresponding to the selected Subscription, enrolls in the Program.
“Nobacco Shop”: means a physical retail store selling Nobacco products, forming part of the Nobacco store network as published on https://www.nobacco.gr/ (as such network may be updated from time to time on the above website).
“Points of Sale”: means the locations at which the Member may carry out a transaction with Nobacco in order to benefit from the Subscription Benefits.
“Products”: means those products (from the total range of products offered by Nobacco for retail sale through the E-shop or the Nobacco Shops) which, at Nobacco’s sole discretion, are included in the Program. The Products, which vary by Subscription Category, are described in Section 3 of these Terms.
“Subscription”: means the service that includes specific Subscription Benefits and is provided through the Program to Members in exchange for the applicable Subscription Fee, the amount of which depends on the Subscription Category selected by the Member. The specific features and benefits of each Subscription, as well as the Products included therein, vary depending on the relevant Subscription Category.
“Subscription Benefits”: means the benefit obtained by the Member from the purchase and use of the Subscription. Such benefit, which varies by Subscription Category, is described in Section 3 of these Terms. Nobacco shall determine, at its sole discretion, the benefits provided under each Subscription Category.
“Subscription Category”: means the available subscription categories for each Member of the Program, as described in Section 3 hereof.
“Subscription Fee”: means the fee paid by the Member for enrollment in the Program, which varies depending on the Subscription Category selected by the Member.
“Subscription Period”: means the duration of each Subscription for each Member. Such duration is defined for a fixed term commencing on the date the Member pays the applicable Subscription Fee.
- ENROLLMENT IN THE PROGRAM – USE OF THE SUBSCRIPTION
- Enrollment in the Program may be completed electronically either (a) through the website nobacco.gr operated by Nobacco, or (b) at a Nobacco Shop, by completing an electronic form with the assistance of a Nobacco Shop employee. In order to enroll in the Program, the applicant will be required to complete the relevant form by providing the following information: full name, city, country, mobile phone number, email address, and/or any other information requested (whether mandatory or optional) in the enrollment form. Completion of all fields designated as mandatory in the enrollment form is a prerequisite for enrollment in the Program and for the issuance of the Loyalty ID. If enrollment is completed at a Nobacco Shop, an SMS message containing a unique code (one-time password - OTP) will be sent to the customer’s mobile phone in order to confirm that the customer is the holder of the mobile phone number provided to the Nobacco Shop employee. The customer must then provide the code to the Nobacco Shop employee so that it may be entered into the relevant field of the form and the enrollment process may be completed. Nobacco reserves the right to introduce additional methods of enrollment in the Program in the future.
- Enrollment in the Program (and the issuance of a Loyalty ID) is permitted only to a natural person who expressly declares, at the time of submitting the enrollment form, that he or she has attained eighteen (18) years of age (is an adult) and has full legal capacity to enter into legally binding agreements.
- Each Subscription created upon enrollment in the Program is strictly personal and is established for one (1) natural person only, based on the personal information submitted. Use of the Subscription by any person other than the Member is strictly prohibited.
- In order to complete enrollment in the Program, the Member must select, from the available Subscription Categories (as described in Section 3 of these Terms), the specific Subscription he or she wishes to purchase and successfully pay the applicable Subscription Fee. If enrollment in the Program is completed through the website nobacco.gr the Subscription Fee may be paid:
- i) by debit or credit card, through the banking institution cooperating with Nobacco; or
- ii) through the IRIS payment system, via the applicant’s bank e-banking service.
- If enrollment in the Program is completed at a Nobacco Shop, the Subscription Fee may be paid:
- i) by debit or credit card at the store’s point of sale;, or
- ii) in cash at the store’s point of sale.
- Upon completion of the Member’s enrollment in the Program, a copy of these Terms shall be sent to the contact details provided by the Member (email address or mobile phone number).
- In order to benefit from the Subscription Benefits corresponding to his or her Subscription, the Member must:
- i) If the transaction is carried out at a physical store or by telephone, the Member must provide the mobile phone number used at the time of enrollment in the Program to the store’s point of sale or, respectively, to the Nobacco telephone sales representative. For the Member’s participation in the Program to be verified, the mobile phone number provided must be the same as the number declared at the time of enrollment in the Program.
- ii) If the transaction is carried out through the E-shop, the Member must, prior to completing the transaction, log in to the account maintained on the E-shop for the Member’s participation in the Program to be verified. If the Member does not already have an account on the E-shop, the Member must first create an account and then log in. For the Member’s participation in the Program to be verified, the email address and mobile phone number used to log in to the E-shop account must be the same as those provided at the time of enrollment in the Program.
- Nobacco reserves the right, at its sole and absolute discretion, to accept or reject any application for enrollment in the Program without any obligation to provide notice or justification to the applicant.
- The Member is entitled to use the Subscription at the Points of Sale, always within the scope of use defined by Nobacco from time to time and communicated to the Member. In particular, when the Member uses the Subscription in the context of a transaction through the E-shop, the Member accepts the Terms of Use and the Privacy Policy governing the use of the website https://www.nobacco.gr/ (as in effect from time to time), which are hereby incorporated into these Terms by reference. As of the date of acceptance of these Terms, the Points of Sale consist of the Nobacco Shop network and the E-shop. Nobacco reserves the right, at its sole and absolute discretion and at any time, to remove or add Points of Sale participating in the Program, either by amending these Terms or by notifying the Member accordingly.
- Under no circumstances may the Subscription Fee or the Subscription Benefits be refunded to the Member in cash or in products, without prejudice to the right of withdrawal (as described below in Section 4).
- Nobacco shall bear no liability for the use of the Subscription by any third party for any reason whatsoever.
- REWARDING SYSTEM – SUBSCRIPTION CATEGORIES
- As of the date of acceptance of these Terms, three (3) Subscription Categories of the Program are available, with the following Subscription Benefits:
- Essential 20: The first Subscription Category of the Program is the Subscription with a Subscription Fee of €20.00. A Member enrolled in this Category is entitled to purchase ready-made refill liquids (10 mL) at a retail price reduced by five percent (5%) when purchased at the Points of Sale, as well as any additional benefits that may be announced by Nobacco by posting on the website nobacco.gr (including, indicatively, competitions, preferential pricing on Nobacco products, etc.). The Subscription Period for the first Category is one (1) year.
- Premium 30: The second Subscription Category of the Program is the Subscription with a Subscription Fee of €30.00. A Member enrolled in this Category is entitled to purchase devices (excluding pre-filled pods) at a retail price reduced by ten percent (10%), and to purchase ready-made refill liquids (10 mL) and vaping bases at a retail price reduced by five percent (5%), when purchased at the Points of Sale. The Member is also entitled to receive any additional benefits that may be announced by Nobacco by posting on the website nobacco.gr (including, indicatively, competitions, preferential pricing on Nobacco products, etc.). The Subscription Period for the second Category is one (1) year.
- Ultra 50: The third Subscription Category of the Program is the Subscription with a Subscription Fee of €50.00. A Member enrolled in this Category is entitled to purchase all Nobacco Products (excluding pre-filled pods) at a retail price reduced by ten percent (10%) when purchased at the Points of Sale, as well as to receive any additional benefits that may be announced by Nobacco by posting on the website nobacco.gr (including, indicatively, competitions, preferential pricing on Nobacco products, etc.). The Subscription Period for the third Category is one (1) year.
- The Products included in the above Subscription Categories expressly exclude VEEV & ZYN products of Philip Morris International, which do not form part of the Program Products and do not fall within the Subscription Benefits.
- The Subscription Benefits enjoyed by each Member depend on the Subscription Category acquired by the Member.
- Nobacco reserves the right, at its sole and absolute discretion, to remove or add Products to any Subscription Category by updating these Terms. Any removal of a Product from the Program shall not affect Members already enrolled in the Program; such Members shall continue to be entitled, until the expiration of their Subscription Period, to the Products applicable at the time of their enrollment. However, the addition of new Products to the Program shall apply to all Members (depending on their respective Subscription Category), regardless of the date of their enrollment in the Program.
- Nobacco reserves the right, at its sole and absolute discretion, to remove or add Subscription Benefits to any Subscription Category by updating these Terms. Any removal or reduction of Subscription Benefits shall not affect Members already enrolled in the Program; such Members shall continue to be entitled, until the expiration of their Subscription Period, to the Subscription Benefits applicable at the time of their enrollment. However, the addition of new Subscription Benefits shall apply to all Members (depending on their respective Subscription Category), regardless of the date of their enrollment.
- Each Member may purchase only one (1) Subscription per Subscription Period.
- The Subscription Benefits shall become effective and applicable as of the date of payment of the applicable Subscription Fee, whether such payment is made at a Nobacco Shop or through the website https://www.nobacco.gr/.
- The Subscription selected by the Member under the Program, as well as the Subscription Benefits arising therefrom, are strictly personal and may not be transferred or assigned to any third party.
- The Subscription Fee and the Subscription Benefits may not be redeemed for cash or products by the Member.
- The Subscription Fee is non-refundable in all cases, including where the Member elects, at his or her discretion, not to make use of the Subscription Benefits during the applicable Subscription Period (without prejudice to the right of withdrawal as described in Section 4).
- Nobacco may, at its sole and absolute discretion, announce additional special offers or supplementary offers on Products or services to Members of the Program. Such offers may apply to all Members, to Members of selected Subscription Categories, or to selected transactions or activities, at Nobacco’s sole discretion. Any such additional special offers constitute a voluntary benefit granted by Nobacco within the framework of the Program, and Nobacco reserves the right to determine, at its discretion, the specific terms and duration of such offers. Members shall be informed of such offers and their specific terms by any appropriate means (including, indicatively, by posting on the website nobacco.gr).
- The Program and the Subscription Benefits may not be combined with any other loyalty or reward programs (whether subscription-based or not), operated by Nobacco. In the event that an applicant for enrollment in the Program is already a member of Nobacco’s “Privilege Club” program, completion of enrollment in the Program shall automatically terminate the applicant’s participation in the “Privilege Club” program. Any points previously accumulated under the “Privilege Club” program shall not be transferred, credited, or otherwise taken into account for purposes of enrollment in the Program or acquisition of Program Member status.
- RIGHT OF WITHDRAWAL
- Where enrollment in the Program has been completed through the website nobacco.gr, the Member has the right to withdraw from the Agreement concluded upon enrollment in the Program, without providing any reason, within fourteen (14) calendar days from the date of completion of enrollment in the Program (i.e., the date of conclusion of the Agreement), in accordance with Article 3e of Greek Law 2251/1994.
- The right of withdrawal shall be exercised in writing by sending a message to the email address sales@nobacco.gr. In the withdrawal notice, the Member must provide the details used at the time of enrollment in the Program (full name, mobile phone number, and email address) in order to enable identification of the Subscription, as well as the IBAN of the Member’s bank account, which may be used by Nobacco, where applicable and in accordance with this Section, for the processing of any refund. Nobacco shall acknowledge receipt of the withdrawal notice without undue delay upon receipt thereof.
- If the Member exercises the right of withdrawal, Nobacco shall refund the Subscription Fee within fourteen (14) calendar days from the date on which Nobacco is demonstrably informed of the withdrawal notice and shall cancel the Subscription, as well as any additional Subscription Benefits that may have been granted to the Member (including, indicatively, the issuance of a promotional voucher), with immediate effect. The refund shall be made to the bank account specified by the Member in the withdrawal notice.
- If the Member has requested that the Subscription commence before the expiration of the withdrawal period, the Member shall be liable to pay Nobacco an amount proportionate to the services provided up to the time the Member informed Nobacco of the exercise of the right of withdrawal, in comparison with the full performance of the Agreement. In such case, Nobacco shall refund the Subscription Fee on a pro rata basis, taking into account the Subscription Benefits actually used by the Member up to the date of withdrawal. The amount corresponding to the Subscription Benefits already enjoyed by the Member through purchases made at the Points of Sale using the Subscription shall be deducted from the refundable amount. If the value of the Subscription Benefits already used exceeds the Subscription Fee, no refund shall be due.
- In all other respects, the right of withdrawal, its conditions, and the manner of its exercise shall be governed by the provisions of Greek Law 2251/1994, as in force from time to time, as well as by any other applicable legislation (whether currently in force or enacted in the future).
- Where enrollment in the Program has been completed at a Nobacco Shop, the Member shall not have a right of withdrawal, as the Agreement was not concluded at a distance and therefore does not fall within the provisions of Greek Law 2251/1994 governing withdrawal from distance contracts.
- AMENDMENT- TERMINATION OF THE PROGRAM
- Upon expiration of the Subscription Period, the Member’s Subscription shall automatically expire and the Member shall no longer be entitled to use it. No automatic renewal of the Subscription is provided. If the Member wishes to renew the Subscription, the Member must submit a new enrollment request in the Program and complete the enrollment process again in accordance with these Terms, selecting (from the available Subscription Categories) the desired Subscription and paying the applicable Subscription Fee, as in effect at that time.
- Nobacco reserves the right to amend these Terms at any time. Such amendments shall be communicated to Members through the website https://www.nobacco.gr/ and/or by posting the relevant amendment within the Nobacco Shops, or by any other appropriate means at Nobacco’s discretion, and shall take effect immediately unless otherwise specified. However, amendments to these Terms that have a materially adverse effect on Members already enrolled in the Program—such as the removal of Program Products, the reduction or removal of Subscription Benefits, or an increase in the Subscription Fee—shall not apply to such Members. In such cases, the more favorable terms in effect at the time of the Member’s enrollment shall continue to apply until the expiration of the applicable Subscription Period.
- Nobacco reserves the right, at its sole and absolute discretion, to terminate the Program in whole or in part (e.g., by terminating a Subscription Category) for any reason. In such case, Nobacco shall inform Members by posting a notice on the website nobacco.gr. In the event of such termination, existing Subscriptions shall remain active solely for Members already enrolled in the Program, who shall retain the rights associated with their Subscription until the expiration of the applicable Subscription Period.
- Members are encouraged to review the website https://www.nobacco.gr/ periodically in order to stay informed of any amendments and to consult the most recent version of the Program Terms. Any amendment shall supersede all prior versions, unless otherwise expressly stated.
- Nobacco reserves the right to terminate a Member’s Subscription with immediate effect and without Nobacco’s liability in the following cases: (a) if the Member uses the Subscription in breach of the Program Terms and/or applicable law; (b) in the event of unlawful conduct or any other behavior by the Member which, in Nobacco’s reasoned judgment, constitutes abuse of the Subscription and/or causes harm to Nobacco; (c) in any other case where the Member fails to comply with any of the Program Terms, all of which are deemed essential. In the event of termination of a Member’s Subscription in accordance with the above, the Member shall have no claims against Nobacco.
- GENERAL TERMS
- The Member is required to notify Nobacco of any change to the contact details provided at the time of initial enrollment (including, indicatively, mobile phone number, email address, etc.) by sending an email to sales@nobacco.gr or by completing the contact form available on the website https://www.nobacco.gr/ . Failing such notification, Nobacco shall not be liable for any loss of correspondence, interruption of communication with the Member, or inability of the Member to use the Subscription. Until such notification is received, any notice may be validly sent to the previously provided contact details, and identification of the Member for purposes of using the Program shall be carried out using the mobile phone number (where the transaction with Nobacco takes place at a Nobacco Shop) and/or the email address (where the transaction takes place through the E-shop) provided by the Member at the time of enrollment in the Program. The accuracy and truthfulness of the information submitted shall be the sole responsibility of the Member, who is obliged to ensure that such information is correct and up to date.
- The Member shall retain Member status for the entire duration of the applicable Subscription Period, provided that the Member complies with the Program Terms as in effect.
- Use of the Subscription Benefits under the Program by the Member is optional.
- The Member’s obligation to pay the Subscription Fee is not dependent on the frequency of use of the Subscription.
- The Member shall use the Subscription in compliance with applicable law, good morals, and these Terms, as in effect from time to time, and shall refrain from any acts or omissions that may cause harm to Nobacco.
- If any provision of these Terms is found to be contrary to law or declared invalid, such provision shall automatically cease to apply, without affecting the validity and enforceability of the remaining provisions.
- Any dispute arising out of or in connection with these Program Terms, whether during their term or following their termination, including disputes concerning their validity, interpretation, or performance, shall be governed by Greek law. The courts of Athens shall have exclusive jurisdiction over any such dispute, regardless of the nature of the claim (private or public law), including proceedings relating to enforcement, interim measures, or claims arising from negotiable instruments.
- Nobacco shall use reasonable efforts to ensure that the Program is available at all times. However, in rare cases, access to or use of the Program may be temporarily unavailable or interrupted due to technical or other reasons. Nobacco does not guarantee that the Program will be provided without interruption or technical difficulties.
- If the Member wishes to obtain further information regarding the Program, the Member may contact Nobacco’s Customer Service department using the following contact details: by email at sales@nobacco.gr or by telephone at +30 210 7622020 during the operating days and hours of Nobacco’s call center.
- PERSONAL DATA
- Upon enrollment in the Program and during use of the Program, the applicant provides Nobacco and the Nobacco Shops with certain personal data. The following data are collected: full name, mobile phone number, email address, city, address, postal code, country, gender, age group, and Loyalty ID.
- Where enrollment is completed at a Nobacco Shop operating under the Nobacco franchise network, Nobacco acts as the Controller of the personal data collected, and the natural or legal person operating such Nobacco Shop acts as a Processor on Nobacco’s behalf in collecting the Member’s data for the purpose of enrollment in and use of the Program.
- Nobacco processes the above personal data in order to provide the Program to Members. In particular, Nobacco processes: (a) the above personal data for the purpose of providing the Program services to Members (legal basis: performance of the Agreement), including enrollment in the Program and communication with Members regarding the use of their Subscriptions (e.g., sending notifications a few days prior to the expiration of a Subscription); (b) the Member’s contact telephone number and email address for the purpose of communicating with the Member for commercial and promotional purposes (e.g., offers, new products), provided that the Member has declared at the time of enrollment that he or she wishes such data to be used for the above promotional purposes (legal basis: consent); (c) where the Member contacts Customer Service, Nobacco processes the Member’s personal data, as well as the communication history, in order to respond to the Member’s requests and generally provide the best possible service (legal basis: legitimate interest). To the extent required by law, Nobacco shall obtain the Member’s consent where it intends to use the Member’s data for purposes other than those described above in connection with the Program.
- If the Member no longer wishes to receive promotional or informational communications via email or mobile phone, the Member may unsubscribe from the relevant communication list as follows:
- in the case of email communications, by following the “unsubscribe” link included at the bottom of the email.
- in the case of text messages or telephone calls, as well as in the case described under (i) above, by completing the contact form available at https://www.nobacco.gr/el/epikoinonia or by calling +30 210 7622020.
- The above personal data shall not be disclosed or transferred to third parties, except to companies within the Nobacco group (including subsidiaries or affiliated entities), natural or legal persons operating Nobacco Shops under the Nobacco franchise network, and service providers cooperating with Nobacco who provide services on its behalf or carry out promotional activities relating to its products and services, and who are established within the European Union. In all cases, the Member retains the rights set out in Regulation (EU) 2016/679 (GDPR), including the right to information (Articles 12–14), access (Article 15), rectification (Article 16), erasure (Article 17), restriction of processing (Article 18), objection (Article 21), and the right to lodge a complaint with the Data Protection Authority (Article 77).
- Nobacco retains the Member’s personal data processed in the context of the Program: (a) for as long as necessary for the performance of the Agreement and, in any event, for at least the period required under applicable law (e.g., tax legislation); (b) with respect to data processed for commercial or promotional communications, until the Member unsubscribes from the relevant Nobacco communication list.
- For any questions or issues relating to the processing or use of personal data disclosed in the context of the Program, the Member may contact Nobacco’s Customer Service department by email at sales@nobacco.gr or by telephone at +30 210 7622020 during the operating days and hours of Nobacco’s call center. Nobacco shall respond in writing to any request relating to personal data within thirty (30) days from receipt thereof.
